Swisher Hygiene Inc. (the "Company") will not be able to timely file its Annual Report on Form 10-K for the year ended December 31, 2014.  The Company has chosen to extend its filing date to provide additional time to complete the assessment of the effectiveness of internal control over financial reporting and to complete the audit of its financial statements, which could not be accomplished by the original filing date without incurring unreasonable effort and expense.  The Company expects to file the report within the fifteen day extension period provided by Rule 12b-25.

The Company expects the results in revenue, gross margin, route expense, and selling, general and administrative expenses to be comparable to the results realized during the nine months ended September 30, 2014.  In addition, the Company recorded a $93.2 million non-cash impairment charge during the fourth quarter of 2013.
