Key transaction terms as a wholly-owned subsidiary of Parent Deutsche Bank Corporate & Investment Banking 2 Transaction Overview At the closing a wholly-owned subsidiary of an affiliate of Z Capital (“Parent”) will merge with Arrow, with Arrow surviving Consideration Each share of Arrow common stock will be cancelled and converted into the right to receive $17.35, without interest, and subject to deduction for any required withholding tax. Exceptions include shares held by Z Capital affiliates (“Rollover Investors”), shares held in treasury, restricted stock and dissenting shares Closing Conditions Approval of holders of a majority of the outstanding Arrow shares. At signing, Z Capital, Silver Point and One East to deliver voting agreements with Parent (which terminate upon termination of the merger agreement) Receipt of HSR clearance and Colorado, Iowa, Missouri and Nevada gaming approvals No financing condition.
