Item 1.01 Entry Into a Material Definitive Agreement.

 

As previously disclosed by Growth Capital Acquisition Corp., a Delaware corporation (“GCAC”), in its Current Report on Form 8-K that was filed on August 5, 2021 with the Securities and Exchange Commission (“SEC”), on August 4, 2021, GCAC entered into a Business Combination Agreement (as amended by the BCA Amendment (as defined below), the “Business Combination Agreement”) with GCAC Merger Sub Inc., a Delaware corporation and a wholly-owned subsidiary of GCAC (“Merger Sub”), and Cepton Technologies, Inc., a Delaware corporation (“Cepton”). Unless otherwise defined herein, capitalized terms used herein shall have the meanings ascribed thereto in the Business Combination Agreement.

 

On January 21, 2022, GCAC, Merger Sub and Cepton entered into the Amendment to the Business Combination Agreement (the “BCA Amendment”) pursuant to which the parties amended the Business Combination Agreement in order to extend the Outside Date (as defined in the Business Combination Agreement) from February 4, 2022 to March 31, 2022.

 

The foregoing description of the BCA Amendment is not complete and is qualified in its entirety by reference to the full text of the BCA Amendment, a copy of which is filed as Exhibit 2.1 hereto and is incorporated herein by reference. 

 

Item 7.01 Regulation FD Disclosure.

 

On January 24, 2022, Cepton issued a press release (the “Press Release”) announcing that it will host a virtual investor day event on Thursday, January 27, 2022, beginning at 12:00 p.m. EST.
