SUBSEQUENT EVENT

In

March 2020, 

the Company entered into a purchase agreement with certain investors, including funds affiliated with Park West Asset Management LLC and an affiliate of MSD Partners, L.P., pursuant to which the Company has agreed to issue

8,000

shares of Series B Convertible Preferred Stock for gross proceeds of 

$8.0

million (the "Series B Private Placement"). Subject to approval of the Company’s stockholders and the satisfaction of customary closing conditions, the transaction is expected to close in the

second

quarter of

2020.
