On March 3, 2023, the reporting person received a grant of 71,727 restricted stock units, which vests as follows: (a) 25% on February 20, 2024 and (b) 6.25% quarterly thereafter, subject to continued employment through the applicable vesting date, provided, that if such date falls on a weekend or holiday, the vesting date shall be the first business day after such date. On March 3, 2023, the reporting person received a grant of restricted stock units, eligible to vest subject to the achievement of certain performance criteria and the satisfaction of service conditions.
