ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On March 30, 2023, John B. Kilroy, Jr., Chief Executive Officer and Chairman of the Board of Directors of Kilroy Realty Corporation (the “Company”), announced his retirement as the Company’s Chief Executive Officer effective as of December 31, 2023.

The Company’s Board of Directors intends to retain a leading executive search firm to assist in a comprehensive search for the Company’s next Chief Executive Officer, with a targeted start date of January 1, 2024.

On March 30, 2023, the Company provided a press release and Mr. Kilroy provided a letter relating to the foregoing retirement announcement.
