Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 14, 2019, Nancy Phillips, Chief Human Resources Officer of Nielsen Holdings plc (“Nielsen”), tendered her resignation effective December 1, 2019. Ms. Phillips will be assuming the role of Chief Human Resources Officer at the combined ViacomCBS company. Michael Alicea, Nielsen’s Executive Vice President, Global Human Resources, will become Nielsen’s interim Chief Human Resources Officer as of December 1, 2019.
