On April 24, 2018, the registrant replaced its incumbent certifying auditors and engaged WWC. P.C. Certified Public Accountants (“WWC”) as its new independent registered public accounting firm. As a result of this transition to new auditors, the registrant has not been able to finalize its financial statements and complete and timely file by the due date its Form 20-F for the fiscal year ended December 31, 2017. The registrant is currently working to complete it financial statements and submit the Form 20-F to its new certifying auditors for their requisite review. The registrant anticipates that it will be able to complete and file the Form 20-F report within the prescribed extension period.
