&amp;#8220;Securities Act&amp;#8221;), and to non-U.S. persons outside the United States pursuant to Regulation S of the Securities Act. The Indenture includes customary covenants, including limitations on our ability to incur additional indebtedness or issue certain preferred shares; pay dividends and make certain distributions, investments and other restricted payments; create certain liens; sell assets; enter into transactions with affiliates; enter into sale and lease-back transactions; merge, consolidate, sell or otherwise dispose of all or substantially all of our assets; and designate our subsidiaries as unrestricted under the Indenture.&lt;/font&gt;&lt;/div&gt;&lt;div style="line-height:120%;padding-top:6px;padding-left:36px;font-size:10pt;"&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt;The Indenture includes customary events of default, including events of default relating to non-payment of principal and other amounts owing from time to time, failure to provide required reports, failure to comply with agreements in the indenture, cross payment-defaults to any material indebtedness, bankruptcy and insolvency events, certain unsatisfied judgments, and invalidation or cessation of the subsidiary guarantee of a significant subsidiary. The facility can be increased by an additional &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;color:#000000;text-decoration:none;"&gt;$100 million&lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt;. The facility can be increased by an additional &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;color:#000000;text-decoration:none;"&gt;$165 million&lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt;. Borrowings are unsecured and bear interest at the bank prime rate in Mexico plus &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;color:#000000;text-decoration:none;"&gt;1.7%&lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt;. Borrowings are unsecured and bear interest at the bank prime rate in Mexico plus &lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;color:#000000;text-decoration:none;"&gt;2.0%&lt;/font&gt;&lt;font style="font-family:inherit;font-size:10pt;"&gt;.
