Common Stock

As of December 31, 2015, the Company had 300.0 million shares of common stock, par value $0.001 per share ("common stock"), authorized, with 58.4 million shares of common stock issued and outstanding. The number of authorized shares of common stock may be increased or decreased (but not below the number of shares then outstanding) by the affirmative vote of holders representing at least 75% in interest of the issued and outstanding shares of the Company's common stock.

As of December 31, 2015, entities affiliated with TA Associates, L.P. and Rho Capital Partners, Inc. held 15.6 million shares of the Company's common stock and have the right to require the Company to register these shares under the Securities Act of 1933, as amended, pursuant to a registration rights agreement.
