On October 22, 2010, the Registrant issued a press release announcing a quarterly cash dividend of 4 cents per share, payable on November 18, 2010, to shareholders of record as of the close of business on November 4, 2010. On October 22, 2010, the Registrant issued a press release announcing its plan to release its third quarter 2010 results after the close of market on Thursday, November 4, 2010. The Registrant also announced that it will host an investor conference call and webcast to review the results on Friday, November 5, 2010, at 10:00 am Central Time. The press release is attached to this report as Exhibit 99.2, which is incorporated herein by reference.

ViewPoint Financial Group, Inc. Announces Quarterly Cash Dividend

PLANO, Texas, October 22, 2010 — ViewPoint Financial Group, Inc. (NASDAQ:VPFG), the holding company for ViewPoint Bank, today announced a quarterly cash dividend of $0.04 per share. The cash dividend is payable on November 18, 2010, to shareholders of record as of the close of business on November 4, 2010.

Earnings Release and Conference Call

PLANO, Texas, October 22, 2010 ... ViewPoint Financial Group, Inc. (NASDAQ:VPFG), (the “Company”) today announced that it plans to release its third quarter 2010 results after the close of the market on Thursday, November 4, 2010. The earnings release will be available on the Company’s website, www.viewpointfinancialgroup.com. The Company will also host an investor conference call to review the results on Friday, November 5, 2010, at 10 a.m. Central Time.
