The Reporting Person indirectly beneficially owns a 23.614% membership interest in the Company. Such membership interest is directly beneficially owned by Siguler Guff Advisers, LLC, a registered investment adviser ("Siguler Guff"). The Reporting Person is a control person of Siguler Guff. As a result, the Reporting Person may be deemed to be a beneficial owner of the reported securities, however the Reporting Person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest in the shares, and the inclusion of these shares in this report shall not be deemed an admission of the beneficial ownership of the reported securities for purposes of Section 16 or for any other purpose. The Reporting Person may be deemed to have acquired the additional shares of the Issuer on July 30, 2010 because an entity whose holdings may be deemed to be indirectly beneficially owned by the Reporting Person increased its investment in the Company on that date. The securities of the Issuer reported as being indirectly beneficially owned by the Reporting Person are held by Venture Lending & Leasing VI, LLC (the "Company"). The Reporting Person directly beneficially owns a 1.360% membership interest in the Company. As a result, the Reporting Person may be deemed to be a beneficial owner of the reported securities, however the Reporting Person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest in the shares, and the inclusion of these shares in this report shall not be deemed an admission of the beneficial ownership of the reported securities for purposes of Section 16 or for any other purpose.
