Item 2.02	Results of Operations and Financial Condition.

On April 28, 2016, BG Staffing, Inc. (the "Company") issued a press release regarding its financial results for the first quarter ended March 27, 2016. A copy of the press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference.

Item 7.01	Regulation FD Disclosure.

On April 28, 2016, the Company issued a press release reporting that on April 28, 2016, its Board of Directors approved the payment of a dividend of $0.25 per share of common stock to be paid on May 16, 2016 to all shareholders of record as of the close of business on May 9, 2016. A copy of the press release is attached hereto as Exhibit 99.1.
