As of June 30, 2013, except for the following, there were no pending or threatened lawsuits that could reasonably be expected to have a material effect on our results of operations.</p> <p style="font: 10pt Times New Roman, Times, Serif; margin: 0">&#160;</p> <p style="font: 10pt Times New Roman, Times, Serif; margin: 0; text-align: justify">Subsequent to management terminating a non-binding letter of intent on January 4, 2013 (see Note 6) the CEO of the Company received an email demand notice to him personally from the other party to recover $282,500 expended by them during their due diligence process. The demand does not appear to be on the Company. There has been no legal action as of the date of this report and none is anticipated.
