Item 8.01 Other Events.

On June 15, 2020, PDS Biotechnology Corporation (the “Company”) issued a press release announcing the initiation of its Phase 2 Trial of PDS0101 by the National Cancer Institute.  The full text of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

On June 17, 2020, the Company also issued a press release announcing the co-development of a COVID-19 vaccine with Farmacore Biotechnology to accelerate the development of PDS0204 into Phase 1 clinical testing in Brazil, with initial financial support provided by the Brazilian government. The full text of the press release is attached hereto as Exhibit 99.2 and incorporated herein by reference.
