Item 8.01     Other Events

Effective March 31, 2021, Northwest Bancshares, Inc., the holding company for Northwest Bank, converted its holding company status to a bank holding company from a savings and loan holding company. Such change was consummated following the receipt of regulatory approval or non-objection, as appropriate, from the Board of Governors of the Federal Reserve System and the Federal Deposit Insurance Corporation. Northwest Bank remains a Pennsylvania-chartered savings bank.
