Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 1, 2020, Northwest Bancshares, Inc. (the "Company") and Steven G. Fisher, the Company's Senior Executive Vice President, Chief Digital and Innovation Officer, announced Mr. Fisher's retirement, effective July 10, 2020. It is anticipated that Mr. Fisher may become an independent contractor with the Company following his retirement. Mr. Fisher joined the Company on July 9, 1983.
