Item 2.02   Results of Operations and Financial Condition

On January 11, 2010, Brown Shoe Company, Inc. (the "Company") issued a press release announcing, among other things, updated retail sales performance for the nine weeks ended January 2, 2010 and that it will be presenting at the 12th Annual ICR XChange Conference in Dana Point, California, on January 14, 2010. A copy of this press release is being furnished as Exhibit 99.1 hereto, and the statements contained therein are incorporated by reference herein.
