Item 9. Regulation FD Disclosure.

On December 8, 2003, Brown Shoe Company, Inc. issued a press release announcing it plans to close its Perth, Ontario manufacturing facility by early March 2004 and that the Company will incur a charge in its fiscal fourth quarter ended January 31, 2004 for severance and other costs associated with the closing. A copy of the Press Release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
