Buyback Program After taking into account continued asset sales, deleveraging activities and any share repurchases, Colony NorthStar’s target leverage ratios are anticipated to remain at: (i) ~50% debt-to-total capitalization and (ii) ~6x Total Debt / EBITDA In an effort to maximize shareholder value, Colony NorthStar intends to (i) repurchase its common stock and/or (ii) further deleverage, in an amount up to $1.0 billion, following the closing of the transaction and subject to market conditions Additionally, each of NSAM, CLNY and NRF will evaluate common stock repurchases after the shareholder vote and prior to closing A share repurchase, at or around current trading levels, is anticipated to be meaningfully accretive
