EXPLANATORY NOTE

This Post-Effective Amendment to the Registration Statement on Form N-1A is filed pursuant to Rule 485(b)(1)(iii) for the sole purpose of designating June 1 , 2022 as the new effective date for Post-Effective Amendment No. 415 to the Registration Statement filed on March 16, 2022 for the Arin Large Cap Theta Fund.
