Each restricted share unit ("RSU") represents a contingent right to receive one share of Altisource Portfolio Solutions S.A. ("ASPS") common stock.
Mr. Ritts received a grant of 131 RSUs based on the 30-day average closing share price of ASPS common stock of $10.56 preceding the March 9, 2021 grant date. The RSUs were granted to Mr. Ritts as annual incentive compensation for the 2020 service year ("2020 Annual Incentive Compensation") based upon the Board approved bonus pool funding level and his personal scorecard performance. Altisource determined to pay 100% of the 2020 Annual Incentive Compensation in RSUs; 60% of the RSUs will cliff vest on the first anniversary of the grant date, the remaining 40% of the RSUs will vest in two equal installments on the first and second anniversaries of the March 9, 2021 grant date (i.e., March 9, 2022 and March 9, 2023).
Mr. Ritts received a 25% reduction to his base salary for the period April 1, 2020 to October 4, 2020 due to COVID-19 Cost Reduction Measures taken by Altisource. In lieu of the reduction in base salary, Mr. Ritts elected for this amount to be adjusted against his earned 2020 Annual Incentive Compensation. The RSU award for Mr. Ritts has been adjusted accordingly.
