("American National") announced a definitive agreement to combine in a strategic merger (the "Merger Agreement") pursuant to which the Company will merge with and into American National (the "Merger"). Pursuant to the Merger Agreement, the option, whether vested or unvested, was cancelled in exchange for a cash payment of $78,800, which represents the difference between closing stock price of $14.78 on November 13, 2018 and the exercise price of $6.90 per share.
