Qualigen Therapeutics, Inc. Announces Closing of $8 Million Registered Direct
Offering Priced At-the-Market Under Nasdaq Rules

 

CARLSBAD, Calif. (July 10, 2020) — Qualigen Therapeutics, Inc. (NASDAQ: QLGN) (“Qualigen” or the “Company”), today announced the closing of its previously announced registered direct offering, priced at-the-market under Nasdaq rules, with a single institutional investor for the purchase and sale for $8,000,000 of (i) 1,140,570 shares of Common Shares, (ii) 780,198 Pre-Funded Warrants and (iii) 1,920,768 Common Warrants at a combined purchase price of $4.165. The Common Warrants have an exercise price of $5.25 per share, are exercisable immediately and have a term of two years.

 

A.G.P./Alliance Global Partners acted as sole placement agent for the offering.

 

The securities were sold pursuant to an effective shelf registration statement on Form S-3 (File No. 333-232798) previously filed with the U.S. Securities and Exchange Commission.
