Item 7.01 Regulation FD Disclosure.

On March 8, 2010, we intend to issue a press release announcing our board of directors' authorization of a daily distribution to our stockholders of record as of the close of business on each day of the period commencing on March 1, 2010 and ending on June 30, 2010. A copy of the press release, which is hereby incorporated into this filing in its entirety, is attached to this Current Report on Form 8-K as Exhibit 99.1.

The information furnished under this Item 7.01 of this Current Report on Form 8-K, including Exhibit 99.1, shall not be deemed to be "filed" for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.





Item 8.01 Other Events.

Effective as of March 1, 2010, our board of directors authorized a daily distribution to our stockholders of record as of the close of business on each day of the period commencing on March 1, 2010 and ending on June 30, 2010, as a result of our sponsor, Grubb & Ellis Company, advising us that it intends to fund these distributions until we have acquired our first property. We, through G&E HC REIT II Lacombe MOB, LLC, our wholly owned subsidiary, acquired our first property, the Lacombe Medical Office Building, located in Lacombe, Louisiana, on March 5, 2010. Our sponsor will not receive any additional shares of our common stock or other consideration for funding these distributions, and we will not repay the funds provided by our sponsor for these distributions. Our sponsor is not obligated to contribute monies to fund any subsequent distributions.

The distributions will be calculated based on 365 days in the calendar year and will be equal to $0.0017808 per share of common stock, which is equal to an annualized distribution rate of 6.5%, assuming a purchase price of $10.00 per share. These distributions will be aggregated and paid in cash monthly in arrears. The distributions declared for each record date in the March 2010, April 2010, May 2010 and June 2010 periods would be paid in April 2010, May 2010, June 2010 and July 2010, respectively, only from legally available funds contingent upon our Chief Financial Officer’s subsequent determination that, as of each payment date and after giving effect to each such distribution, we will be able to pay our debts as they become due in the usual course of business and our assets will not be less than the sum of our total liabilities.
