Explanatory Note

These definitive additional materials are being filed to supplement and replace the Notice of Internet Availability of Proxy Materials (the “Notice”) previously filed by Pacific Oak Strategic Opportunity REIT, Inc. (the “Company”) with the Securities and Exchange Commission on April 28, 2025 in order to correct one of the references to the date of the Company’s annual meeting in the Notice. The Company’s annual meeting will occur on July 11, 2025.
