The number of shares was determined using the closing market price of the applicable class of ordinary shares on December 31, 2015. On July 1, 2015, the Issuer distributed, by means of a dividend, to each holder of ordinary shares, one share of the corresponding Class of Issuer LiLAC ordinary shares for every 20 shares of that Class of Issuer ordinary shares held by such holders as of the distribution record date. As a result, pursuant to the anti-dilution provisions of the Nonemployee Director Deferred Compensation Plan, the Reporting Person received LiLAC Restricted Share Units based on previously reported Restricted Share Units at the same ratio as the LiLAC ordinary shares distribution and with the same terms as the previously reported Restricted Share Units. Each share fund unit represents the economic equivalent of one share of Liberty Global Class A, Liberty Global Class C, LiLAC Class A or LiLAC Class C ordinary share, as the case may be. The share fund units confer no voting or other rights of share ownership. The share fund units become payable in a series of five substantially equal annual installments beginning on January 1, 2015, subject to certain other payment events. The trading symbols for the Issuer's Liberty Global Class A, Class B, and Class C ordinary shares are LBTYA, LBTYB, and LBTYK, respectively.
