Dear Ladies and Gentlemen:

I have acted as counsel to Vivakor, Inc., a Nevada corporation (the “Company”), in connection with the filing by the Company of a Registration Statement on Form S-3 (the “Registration Statement”) with the Securities and Exchange Commission (the “Commission”) under the Securities Act of 1933, as amended (the “Securities Act”), including a related prospectus included in the Registration Statement (the “Prospectus”), covering the registration for resale of up to 30,550,000 shares of the common stock, $0.01 par value, of the Company (the “Shares”). The Shares consist of shares of up to 30,150,000 shares of common stock that may be issued by the Company to the Selling Stockholder (as defined in the Registration Statement) pursuant to a Loan and Security Agreement, dated March 17, 2025 (the “Loan and Security Agreement”) and those certain $12,565,000 principal amount junior secured convertible promissory notes to dated March 17, 2025 and July 9, 2025 (the “Notes”), and 400,000 shares of common stock issued to the Selling Stockholder pursuant to the Loan and Security Agreement and the Notes.

In connection with this opinion, I have examined and relied upon the Registration Statement, the Prospectus, the Loan and Security Agreement, the Notes, the Company’s certificate of incorporation and bylaws, each as currently in effect, and such other records, documents, opinions, certificates, memoranda and instruments as in my judgment are necessary or appropriate to enable me to render the opinion expressed below. I have assumed the genuineness of all signatures, the authenticity of all documents submitted to me as originals, the conformity to originals of all documents submitted to me as copies, the accuracy, completeness and authenticity of certificates of public officials and the due authorization, execution and delivery of all documents by all persons other than the Company. As to certain factual matters, I have relied upon a certificate of an officer of the Company and have not independently verified such matters.

My opinion is expressed only with respect to the General Corporation Law of the State of Nevada. I express no opinion to the extent that any other laws are applicable to the subject matter hereof and express no opinion and provide no assurance as to compliance with any federal or state securities law, rule or regulation.

On the basis of the foregoing, and in reliance thereon, and subject to the assumption, qualifications, limitations and exceptions set forth herein, I am of the opinion that the Shares, when issued, will be validly issued, fully paid and nonassessable.
