Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 17, 2022, James R. Bartholomew, Senior Executive Vice President of Embassy Bancorp, Inc. and its wholly-owned banking subsidiary Embassy Bank for the Lehigh Valley (collectively the “Company”), informed the Company that he intends to retire effective December 31, 2022. Mr. Bartholomew will also retire from his position as Senior Lending Officer of Embassy Bank for the Lehigh Valley (the “Bank”) effective December 31, 2022. Mr. Bartholomew began his banking career in 1974 and joined the Bank at its inception in November 2001, overseeing the growth of the Bank’s loan portfolio to over $1.1 billion through March 31, 2022. Mr. Bartholomew’s determination to retire is not related to any disagreement on any matter related to the Company’s operations, policies or practices.
