Explanation of Responses:

1. Consists of (a) 126,882 shares of Common Stock Owned directly by Mr. Whitton and (b) 87,500,000 shares of Common Stock owned by Mentone Ltd. Mr. Whitton is the owner of 34% of Mentone Ltd., and is deemed to be the beneficial owner of the shares of Common Stock owned by Mentone Ltd.

2. Cell Science Holding Ltd. is the owner of 4 shares of Series A Preferred Stock. Cell Science is owned by Inter-M Traders FZ LLE (40%), OZ Corporation (30%) and Mentone Ltd., 30%. Mr. Whitton is the owner of 34% of Mentone Ltd., and is deemed to be the beneficial owner of the 4 shares of Series A Preferred Stock owned by Cell Science.
