United States Oil and Gas Corp (the “Company”) represents that it is unable to timely file its Annual Report on Form 10-K for the fiscal year ended December 31, 2010 (the “2010 10-K”) without unreasonable effort and expense.  The Company’s independent registered public accounting firm needs additional time to complete its review of the financial statements for the fiscal year ended December 31, 2010.  The Company represents that it will file the 2010 10-K by the fifteenth calendar day following its prescribed due date.
