Centrais Elétricas Brasileiras S/A (“Company” or “Eletrobras”) (B3: ELET3, ELET5 & ELET6; NYSE: EBR & EBR.B; LATIBEX: XELT.O & XELT.B) hereby informs its shareholders and the market in general that the board member, Ms. Lucia Maria Martins Casasanta, appointed by the controlling shareholder, has resigned, as of April 14, 2021, her position on the Board of Directors of Eletrobras, whose term of office ends at the end April 2021, due to the new professional and personal challenges it intends to take on.

 

Lucia was the first Governance, Risk and Compliance Officer at Eletrobras, selected by an independent process from Headhunter. She led the process of contracting and executing the independent investigation, within the scope of Eletrobras Companies, during the “Lava Jato” operation, installed in Brazil. Under his direction, the Eletrobras Companies' Compliance Program - Eletrobras 5 Dimensions was implemented, which has been developing continuous actions to comply with the laws, rules, standards and regulations established for our activities, as well as for the improvement of the process prevention, detection and treatment of nonconformities, with a commitment to promote ethics and integrity in the business environment of Eletrobras Companies. In July 2020, Lucia resigned as Director and was appointed by the controlling shareholder for one of its vacancies on the Board of Directors, being, until this date, the coordinator of the Strategy, Governance and Sustainability Committee, in addition of being member of the Eligibility Committee of Eletrobras Companies.

 

The Company will disclose, in up to 7 (seven) business days, the full letter of resignation, as an attachment, of the minutes of the Board of Directors' meeting, which took place on this date, pursuant to the regulations of the Comissão de Valores Mobiliários – CVM, as well as, in due course, the new composition of the Strategy, Governance and Sustainability Committees and the Eligibility Committee.
