EXPLANATORY NOTE

Digimarc Corporation (the “Corporation”) is filing this Form 8-K/A as an amendment to the Current Report on Form 8-K filed by the Corporation with the Securities and Exchange Commission on May 12, 2023 (the “Original Filing”). The Original Filing reported the voting results from the Corporation’s 2023 Annual Meeting of Shareholders held on May 10, 2023 (the “Annual Meeting”). The sole purpose of this Form 8-K/A is to disclose the Corporation’s decision as to how frequently it will conduct future shareholder advisory votes on executive compensation. No other changes have been made to the Original Filing.

Item 5.07         Submission of Matters to a Vote of Security Holders.

(d) In line with the recommendation by shareholders, the Corporation’s Board of Directors has determined that it will include an advisory shareholder vote on executive compensation in its proxy materials every year until the next required advisory vote on the frequency of shareholder votes on executive compensation, which will occur no later than our Annual Meeting of Shareholders in 2029.
