Ecoark Holdings, Inc. (the “Registrant”) has been briefly delayed in filing its Annual Report on Form 10-K (the “Annual Report”) for the fiscal year ended March 31, 2021. The Registrant expects to file the Annual Report on or about June 30, 2021, but in any event before the fifteenth calendar day following the prescribed due date of the Annual Report, as required by Rule 12b-25 under the Securities Exchange Act of 1934.

The consolidated statement of operations will include a full year of financial results of the oil and gas operations for the fiscal year ended March 31, 2021 following the previously reported acquisition of Banner Midstream Corp. on March 27, 2020. We anticipate reporting on a consolidated basis revenues of approximately $15.6 million for the year ended March 31, 2021 compared to approximately $0.6 million for the year ended March 31, 2020; cost of revenues of approximately $14.7 million for the year ended March 31, 2021 compared to $0.3 million for the year ended March 31, 2020; operating expenses of approximately $19.4 million for the year ended March 31, 2021 compared to approximately $10.1 million for the year ended March 31, 2020; selling, general and administrative expenses of approximately $8.4 million for the year ended March 31, 2021 compared with approximately $1.4 million for the year ended March 31, 2020; depreciation, amortization, depletion and accretion expenses of approximately $1.9 million for the year ended March 31, 2021 compared to approximately $0.3 million for the year ended March 31, 2020; change in fair value of derivative liabilities of approximately $(18.5 million) for the year ended March 31, 2021 compared to approximately ($0.4 million) for the year ended March 31, 2020; and net loss of approximately $20.9 million for the fiscal year ended March 31, 2021 compared to approximately $12.1 million for the fiscal year ended March 31, 2020.
