Item 5.03 Amendments to Articles of Incorporation or Bylaws; Changes in Fiscal Year.

On July 9, 2008, the Registrant’s Board of Directors amended Article 13, Section 13.2 of the Bylaws to allow the Board of Directors to meet on dates and times as approved by a majority of the Board of Directors approves.  Previously, Board Meetings were required to be held twice a month.
