Amendment to the
 
Investment Advisory Agreement
 
between
 
Genworth Variable Insurance Trust
 
and
 
Genworth Financial Wealth Management, Inc.
 
This amendment to the Investment Advisory Agreement dated August 15, 2008 (the “Agreement”) is made and entered into by and between Genworth Variable Insurance Trust, a Delaware statutory trust (the “Trust”), and Genworth Financial Wealth Management, Inc., a California corporation (the “Advisor”).
 
WHEREAS, the Trust and the Advisor are parties (the “Parties”) to the Agreement; and
 
WHEREAS, the Trust intends to establish six additional series (the “New Funds”); and
 
WHEREAS, the Parties desire to reduce the levels of compensation payable under the Agreement by the Trust to the Advisor with respect to the original nine series (the “Original Funds”); and
 
WHEREAS, the Parties desire to amend Schedule A of the Agreement to (i) include the New Funds, and (ii) revise the fee schedule of the Original Funds;
 
NOW, THEREFORE, in consideration of the premises and mutual covenants herein contained, the Parties hereby agree to amend the Agreement, pursuant to the terms thereof, as follows:
 
Schedule A of the Agreement is hereby superseded and replaced with the Amended and Restated Schedule A attached hereto.
 
Except to the extent modified by this Amendment, the terms and provisions of the Agreement shall remain in full force and effect.
 
IN WITNESS WHEREOF, each of the Parties has caused this Amendment to be executed by a duly authorized officer on one or more counterparts as of the date indicated below.
