("Amyris") whereby Amyris agreed to pay in cash any portion of the Notes that remains outstanding on the maturity date, and Maxwell waived its right to convert the Notes into shares of Amyris common stock. Under the terms of the Notes, based on the initial conversion rate, the Notes were convertible into 2,670,370 shares of Amyris common stock. The termination of convertibility of the Notes could be deemed a "disposition" of a derivative security and/or the underlying common stock for purposes of Section 16 under the Securities Exchange Act of 1934, and the rules thereunder, and is reported herein solely for that reason. Maxwell directly owns the Notes. Maxwell is wholly-owned by Cairnhill Investments (Mauritius) Pte Ltd., which in turn is wholly-owned by Fullerton Management Pte Ltd, which in turn is wholly-owned by Temasek Holdings (Private) Limited. Therefore, each of Temasek Holdings (Private) Limited, Fullerton Management Pte Ltd and Cairnhill Investments (Mauritius) Pte Ltd. may be deemed to beneficially own the shares of derivative securities directly owned by Maxwell.
