Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 3, 2021, William S. Levine and David C. Tedesco separately informed Global Water Resources, Inc. (the “Company”) of their decisions not to stand for re-election to the Company’s Board of Directors (the “Board”) at the Company’s 2021 annual meeting of stockholders, currently scheduled for May 6, 2021. The decisions by Mr. Levine and Mr. Tedesco to retire from the Board are not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
