(the "Company"). On April 28 2016, the Company effected a 100.68-for-1 forward stock split of its common stock. The number of shares reported has been adjusted to reflect the stock split. Shares are held by a limited partnership for which the reporting person serves as general partner. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein. On May 3, 2016, the Company completed its merger (the "Merger") with GWR Global Water Resources Corp. ("GWRC") pursuant to which GWRC merged with and into the Company, with the Company surviving as a Delaware corporation. Holders of GWRC's common shares received one share of the Company's common stock for each then outstanding common share of GWRC.
