A description of the shares of beneficial interest, no par value, of Direxion Shares ETF Trust (the "Trust") to be registered hereunder is set forth in the Trust's prospectus, dated October 1, 2008, as last supplemented on May 13, 2009, which description is incorporated herein by reference as filed with the Securities and Exchange Commission in EDGAR filing type 497 on May 13, 2009 (Accession No. 0000898432-09-000664).

The Trust currently consists of forty separate series; this registration statement pertains solely to the two series of the Trust listed below with their respective I.R.S. Employer Identification Numbers.
