Item 1.01        Entry into a Material Definitive Agreement.

On May 18, 2009, WindTamer Corporation (the “Company”) entered into an Agreement for Limited Research with Clarkson University (“Clarkson”).  The Agreement for Limited Research provides that Clarkson will perform certain research activities relating to testing of the Company’s wind turbines and produce a final report of the results of such tests, and Company will pay Clarkson three thousand dollars ($3,000) for such services.
