(&quot;Magnum&quot;) and its associates for services rendered and payments by Magnum made on behalf of the Issuer and its subsidiary Quadra Energy Systems Inc as of October 31, 2010.

The total debt incurred totaled $ 763,740.  Of the 11,666,666 shares of Common Stock issued, 5,210,000 shares were issued to Omega Research Corporation (&quot;Omega&quot;).  The beneficiary owner of Omega is Claude Diedrick, our company President

All 708,222 shares of Preferred Stock were issued to Omega.Mr. Diedrick holds the above noted Common and Preferred Stock indirectly through Omega.</footnote>
        <footnote id="F2">Mr. Diedrick previously held 135,700 shares of Common Stock directly.  The Issuer reverse split its authorized and outstanding stock effective October 14, 2010 which resulted in Mr. Diedrick's holdings to be decreased to 453 shares of Common Stock.

Mr. Diedrick currently holds 5,210,000 shares of Common Stock indirectly through Omega and 453 shares of Common Stock directly.</footnote>
