TM-07 originally received these Warrants on 9/10/2013 in exchange for cash consideration pursuant to the terms of a Note Transaction dated 05/01/2013 which has been amended and restated by the Amended and Restated 2013 Convertible Debt and Security Agreement dated 2/21/2014 (the "Note Transaction"). TM-07 originally received these Warrants on 2/21/2014 in exchange for the conversion of the balance owed on a loan by the Issuer to TM-07 of $202,705.47 into a loan governed by the Note Transaction pursuant to a Loan Conversion Agreement dated February 21, 2014.
