Item 2.02 Results of Operations and Financial Condition

On June 2, 2008, Intrepid Potash, Inc. issued a press release announcing its financial results for the quarter ended March 31, 2008. A copy of the press release is furnished as Exhibit 99.1 to this report.

Also on June 2, 2008, Intrepid Potash, Inc. held a conference call to discuss its earnings for the quarter ended March 31, 2008.
