As of the date of this filing, Integrated Core Strategies holds 873,680 warrants to purchase the Issuer's Ordinary Shares at a price of $7.50 per share ("Warrants"), which are currently not exercisable. The Warrants will become exercisable on the later of the Issuer's completion of a business combination and July 23, 2009, provided that certain conditions are met. The Warrants will expire on July 22, 2013, or earlier upon redemption. As of the date of this filing, the Issuer has not announced the completion of a business combination. The Ordinary Shares and Warrants were acquired though an intercompany transfer between Millenco LLC, a Delaware limited liability company ("Millenco"), and Integrated Core Strategies, each of which is wholly-owned by the same entity.
