<p style="margin-top: 6px; margin-bottom: 0px;"><font style="font-family: Times New Roman;" class="_mt" size="2">On July 8, 2010, the compensation and governance committee of the board of directors of the Company approved the grant of an aggregate of 88,807 shares of time-based restricted stock to its executive officers under the Company's 2007 Equity Incentive Plan. The shares are scheduled to vest ratably on an annual basis over a five-year period. All of the awards are issued and outstanding as of the grant date and the awardee is entitled to receive dividends as declared and paid on the shares and to vote the shares from the date of grant.</font></p></div></div></div> </div>12.
