Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective March 22, 2010, China Environmental Protection Inc. (the “Registrant”) terminated the appointment of Ms. Ping Ye as Chief Financial Officer of the Registrant as the Registrant was unable to reach agreement with Ms. Ping Ye regarding her compensation arrangements. Ms. Ping Ye’s appointment was announced in a Form 8-K filed with the Securities and Exchange Commission on February 12, 2010 in connection with the reverse merger the Registrant conducted to acquire all of the outstanding capital stock of Dragon Path International Limited, a British Virgin Islands corporation.
