Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(b)      On February 15, 2019, Dino Di Palma departed Avaya Holdings Corp. (the “Company”) as Senior Vice President, Americas Sales, Strategic Partners and Global Accounts.  Mr. Di Palma will be eligible to receive benefits under the Avaya Inc. Involuntary Separation Plan for Senior Executives, which is described in the Compensation Discussion & Analysis (“CD&A”) in the Company’s Form 10-K/A filed with the Securities and Exchange Commission on January 25, 2019.
