Item 8.01.  Other Events.

On December 7, 2023, DallasNews Corporation’s Board of Directors declared a first quarter 2024 dividend of $0.16 per share. The dividend will be payable on March 1, 2024, to shareholders of record at the close of business on February 9, 2024. A copy of the announcement press release is furnished with this report as Exhibit 99.1.
