Re: Aberdeen Funds (the “Trust”) — Fund Liquidations, Name Changes, Additional Class

Ladies and Gentlemen:

Reference is made to the Sub-Administration Agreement between State Street Bank and Trust Company (the “Sub-Administrator”) and Aberdeen Standard Investments Inc. (the “Administrator”) dated as of June 1, 2010, as amended and supplemented (the “Agreement”). Pursuant to the Agreement, this letter is to provide notice of the liquidation of two series of the Trust (Aberdeen Asia-Pacific ex-Japan Equity Fund and Aberdeen U.S. Mid-Cap Fund) effective on February 11, 2021; the name changes of three series of the Trust as reflected in Schedule A hereto effective December 1, 2020; and, the addition of Class C shares to the Aberdeen Short Duration High Yield Municipal Fund effective December 18, 2020. Further, the Funds never launched, and currently are not offering, Class T shares; as a result, Class T has been removed from the attached Schedule for each series of the Trust. In addition, certain Funds no longer offer certain other share classes, which have been removed from Schedule A attached hereto.

Please indicate your acceptance of the foregoing changes by executing this letter and returning a copy to Aberdeen Standard Investments Inc.
